Minnesota World Organization of China Painters

Article I - Name
This organization shall be known as the Minnesota World Organization of China Painters, or MNWOCP

Article II - Purpose
To educate and encourage artists, connoisseurs and patrons of the fine art of china porcelain painting.
The MNWOCP shall be a member of the World Organization of China Painters, or WOCP.

Article III - Membership
SECTION 1. Membership of MNWOCP shall consist of members in good standing of Minnesota clubs,
(members who have paid their dues on or before May 1 of each fiscal year).
SECTION 2. Clubs shall be composed of at least six persons who support the purposes of MNWOCP.
SECTION 3. Members in clubs shall be:
A. Any member in good standing whose dues are paid is referred to as an Active member.
B. Membership in local clubs shall be all inclusive for membership in the local club, the MNWOCP,
and the World Organization of China Painters.
SECTION 4. Reinstatement. Application for reinstatement shall be made in the original manner.
A. Clubs may continue membership in the State Organization with a membership of not less
than six active members.

Article IV - Dues
Annual Dues of MNWOCP organization shall be payable to the World treasurer on or before June 1 of each year.
Local club annual dues shall be paid to the state Treasurer by each active member by May 1 of each year.
Annual dues, payable to the local club for each active member shall include local club dues, State Organization dues
and World Organization dues. Annual dues include a subscription to the official WOCP magazine.

Article V - Fiscal Year
The fiscal year of this non-profit corporation (501C3) shall be July 1 to June 30 of the following year.

Article VI - Officers and Election
SECTION 1. The elective officers shall be President, President Elect, Vice President, Secretary, Treasurer,
Show Treasurer, Historian, and Auditors, these officers constitute the 'Board'.
Board Members have one (1) vote each.
SECTION 2. The officers shall be elected and installed during the biennial show.
They shall serve for a two year term for no more than two (2) consecutive terms.
SECTION 3. Club elections shall:
A. Be done at the discretion of each club.
B. Be reported by forwarding copies of a typewritten list of elected officers with an up-to-date membership
list to the State Treasurer by May 1 of each year. The state Treasurer shall send one copy shall be sent
to the World Organization, along with the World dues, one copy to the state President, and one copy to be
retained by the State Treasurer. The Club Treasurers will retain one copy for their Club's Records. E
ach MNWOCP member shall receive a membership roster w/officers list.

Article VII - Duties of Officers
SECTION 1. The President shall:
A. Preside at the meetings of the State Organization Board of Directors, shall be ex-officio member
of all committees except the Nominating Committee, shall perform any other duties incident to office,
and shall approve all expenditures.
B. At the discretion of the President, a Chaplain for the MNWOCP Organization shall be appointed.
C. Submit a condensed report of his/her term of office in duplicate, compiled from the reports of
his/her officers and chairmen, one copy to be filed with the Historian and one copy kept in the
president's file to be passed on to his/her successor.
D. The President or designee shall inaugurate the incoming Officers at the biennial show.
E. The President shall act as advisor and work with the show chair in planning the biennial MNWOCP Show and Sale.
F. The President shall appoint a nominating committee to select new officers for the upcoming term of office.
G. The President shall submit articles for the WOCP Magazine to supply information of MNWOCP activities.
H. The President shall assign MNWOCP State Clubs to host Spring and Holiday Luncheons on a rotational basis.
I. Provide a copy of MNWOCP by-laws to all MNWOCP members.

SECTION 2. The President Elect shall:
A. Shall assist the President and perform the duties of the President in the absence of the President.
B. Perform the duties of Corresponding Secretary and Sun Shine Correspondent (send Get Well or
Sympathy Cards) when necessary.

SECTION 3. The Vice President shall:
A. Assist the President and perform the duties of the President in the absence of the President
and the President Elect.
B. The Vice President shall assume the duties of Show Chairman for the upcoming Show. The Show Chairman
shall keep accurate records of all Show expenditures, and approve all show activities.

SECTION 4. The Recording / Corresponding Secretary shall:
A. Keep a permanent record of the proceedings of the State Organization and the Board of Directors,
in a book provided for that purpose. He/she shall have custody of all books and papers belonging to the State
Organization except those specifically assigned to other officers.
B. Mail a copy of the minutes of all meetings to each Board Member and each Club President.

SECTION 5. The Treasurer shall:
A. Collect all dues, keep an accurate account of all money received and disbursed, and shall disburse no money
except that which is authorized by the Board of Directors. The Treasurers accounts shall be forwarded to the
Auditor at the close of each fiscal year.
B. Furnish the Historian the names and addresses of all paid members.
C. Sign all checks, with the written approval of the President. If the President is unavailable the President
Elect shall assume this duty. The Treasurer will set up a bank account in a FDIC or FSLIC bank or banking institution.
D. Prepare a full report for each Board Meeting.
E. Shall maintain a complete inventory of MNWOCP assets according to the (501C3) requirements.
F. The State Treasurer shall be responsible for filing non-profit organization (501C3) tax returns if required.
G. Create a roster for all MNWOCP Members.

SECTION 6. The Show Treasurer shall:
A. Obtain/Collect all monies pertaining to Show events and keep accurate records according to standard accounting records.
B. The Show Treasurer shall be responsible for all reservations for show events and keep accurate records thereof.
C. At the end of Biennial Show, prepare a full report of Show expenditures, approved by the President and
Show Chair, and present it to the MNWOCP Treasurer. D. Shall send monthly Show Expense Reports
to the State Treasurer for review.

SECTION 7. The Historian shall:
A. Prepare a history of activities of the State Organization and present it at the upcoming Show in the form of a History Book.

SECTION 8. The Auditors shall:
A. Audit the books and present a report at the Spring Luncheon.

SECTION 9. The Chaplain:
A. An appointed position, the Chaplain shall conduct an all-inclusive prayer at the request of the President at MNWOCP functions. The Chaplain is not a voting Board Member.

NOMINATING COMMITTEE:
Shall consist of three active MNWOCPmembers and shall be appointed by the President. This committee
shall present a slate of names, one for each office. The induction of the new officers will occur sometime
during the MNWOCP Show/Sale/Convention and be handled by the outgoing President or designee.

Article VIII - Bi-Annual Show & Sale
SHOW COMMITTEE:
All Club Presidents shall act as Show Committee Chairman for any of the duties assigned to their clubs.
The Club President/Show Committee Chairman shall keep the Show Chair informed of the progression
of their club's duties on a regular basis.

SECTION 1. The Show location shall be selected by the Show Chair with the Presidents approval.
SECTION 2. The Show floor shall be open to any member of a state club as well as the general public.
SECTION 3. Active members of the MNWOCP will have priority in all State sponsored
events, including Show events.
SECTION 4. The Show Chair may at his/her discretion organize fund raising activities for the
benefit of MNWOCP with the proceeds deposited into the MNWOCP Show account.
SECTION 5. The Show Chairman may determine his/her own show format and schedule of events
with the approval of the President.
SECTION 6. All booth holders are required to be WOCP members in good standing.
SECTION 7. After the biennial show and the books have been audited, the outgoing President will
repay the MNWOCP Treasury the amount issued as show start-up money for their term of office.
A check for a minimum amount of $1,500.00 is to be presented to the newly installed President
and deposited by the newly installed Show Treasurer with the approval of the newly appointed Treasurer.
SECTION 8. If there are proceeds left from the biennial show, they will be used at the discretion of the
President and Show Chairman with Board approval for the benefit of MNWOCP.
SECTION 9. A club table competition shall be held at each show. A monetary prize will be awarded to
the club table that best represents the 'theme' of the show. The Show Chairman will elect the
Judge or Judges for the club tables.
A. Not more than one piece by an individual member may be displayed for consideration for museum
judging. If a member is an associate member in another club, said member may also enter a painting
on the associate club's table.
B. All painted works eligible for museum competition shall be judged by WOCP members in good standing.

Article IX - Parliamentary Authority
Robert's Rules of Order shall govern the proceedings of the Organization in all cases to which they are
applicable and unless they are not consistent with the by-laws.

Article X - Amendments
SECTION 1. The By-laws may be amended at the meeting of this organization by a two-thirds (2/3) majority
of the Board, provided notice of the proposed amendment has been presented to them
fifteen days (15) days prior to the date of the vote.
SECTION 2. All MNWOCP By-laws must conform to the WOCP.

Article XI - Dissolution-Withdrawal
SECTION 1. In the event of a withdrawal, dissolution or expulsion of the State club from
the MNWOCP, all remaining assets shall be paid over to the MNWOCP, the funds to be held in
a special account for a period one year. If no reorganization can be made, by the end of one year the
funds held in the special account shall be permanently contributed for advancing the educational purposes
of the MNWOCP determined by MNWOCP Board.

SECTION 2. At no time, in any event may the assets of the State Organization or any assets of its'
member clubs insure incidentally or otherwise be used for the benefit of any private individual or any individual member or members.
SECTION 3. Rights of the Minority. The rights to continue this organization for the purposes stated belong
to each and every single club in the State Organization and to as few as six members in each local club.
As long as one club continues in existence the State Organization continues with the use of the assets of the
State Organization so long as there are as few as six (6) active members of a local club in sympathy with
the stated purpose, the club may continue with the full right to use the club's assets.

Standing Rules
1. Annual dues of the State Organization shall be $27.00 per capita ($3.00 for the Minnesota State
Organization and $23.00 for the World Organization of China Painters, $1.00 to WOCP Founders Day Fund).
The club shall collect dues by May 1 of each year and $27.00 per capita shall be forwarded to the
State Treasurer by June 1 of each year. The State Organization shall send $24.00 per capita to the
World Organization of China Painters by June 30 of each year.

2. Members shall pay full dues in one club of which they are an active member. If they join an
additional club in the state of Minnesota they pay only club and State dues, excluding World dues.
Associate members have full rights and privileges of club membership, but MUST maintain absolute privacy
of activities pertaining to competition related events between clubs!

3. All monies of the Minnesota WOCP are to be deposited in interest bearing accounts in FDIC or
FSLIC banks or banking institutions set up by the State Treasurer or Show Treasurer. Written approval
by the State President is required for each disbursement.

4. The amount of $200.00 is to be set aside for the new State President to help reimburse him/her for expenses
during the term of State President. This is to be disbursed by the State Treasurer as expenses are incurred,
receipts being required for all expenditures.

5. Other than Show expenses, the MNWOCP board shall approve all expenses over $50.00 prior to purchase,
this includes emergency expenses, receipts being required for all expenditures.

6. The Spring/Holiday Luncheon host club shall receive $100 to cover some of the expenses for the luncheon.
The remaining cost shall be covered by the host clubs. Profit from luncheons shall remain with the host club.
